The following terms and conditions are agreed between the Parties for the continued maintenance of a website (the “Website”) in accordance with the specification agreed in writing between the Parties (the “Project Specification”). Once this document (the “Maintenance Agreement”) is signed, the Website shall be maintained by Greene Design Studio Ltd (the “Developer”) for (the “Client”).

1. Scope of Work:

The Client is contracting the Provider to provide up to a specified period of website maintenance and technical support services for the website per annum. The Provider agrees to provide such services to the client on a monthly basis. This may include:

• Guaranteed response for bug fixes and maintenance issues. See Deadlines and Deliverables. Web hosting through a third-party service provider to allow your website to be accessible online.
• Regular monitoring and updating to ensure performance across all the latest browser versions.
• Updates to copy and content.
• Search Engine Optimisation.
• Regular backups of your site so that it may be restored in case of loss.
• The addition of new features or changes to existing features on the website.
• Consultation, advice and guidance on the use of the website.
If any regular maintenance or or technical support procedure requires additional time to complete beyond the scope of the agreement, the Provider will notify the client in advance and in writing so that additional time can be agreed upon and billed separately. Support hours expire at the end of each month and do not roll over to the next maintenance quarter.

2. What is NOT included in the agreement:

• Maintenance, support or hosting services for websites other than those specified in the agreement.
• Domain name registration, DNS or email services.
Payment, Late Payment, Cancellation & Third Party Fees.

The Client agrees to pay the Provider in exchange for the above services - to be reviewed after twelve months. The first payment is due upon execution of the Agreement. Further payments will be set out in a payment schedule. Discounts are applied to monthly subscribers only.

If the Client fails to pay any amount due under the Agreement by the due date. The Provider may, after a 14-day grace period, suspend any work until payment is made in full.

The Client or Provider may cancel the Agreement at any time by providing written notice to the Provider within 30-days of such cancellation. In the event of cancellation by the Provider. The Provider will provide a prorated refund for unused services and all files necessary to migrate the website to another host.

The client is responsible for all third party fees, including any necessary license fees required to purchase and install new plugins or software on the website. These fees will be communicated to the Client in writing before they are incurred.

3. Deadlines

The Provider will respond via email to all maintenance requests from Client within 24 hours on weekdays with a confirmation that the request was received as well as an estimated completion date. Maintenance requests received after 6pm GMT on weekdays may not be responded to until the next business day unless prior arrangements have been made.
Limitation of Liability

The total liability of the Provider or Client, whether for breach of contract, warranty, negligence, strict liability in tort or otherwise, is limited to the price of the particular services purchased, sold, or otherwise at issue hereunder with respect to which losses or damages are claimed.
In no event will either party be liable for any incidental, special, indirect, consequential or punitive damages, including, but not limited to, damages for any loss of use, loss of time, inconvenience, commercial loss, or lost profits, savings, or revenues, to the full extent such may be disclaimed by law.
